If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will endeavour to provide reasonable advance notice of material changes. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
Access to certain features of the Services requires a paid subscription. We offer various subscription plans with different features and pricing. Details of available plans are provided on our pricing page and may be updated from time to time.
We offer a 14-day free trial for the Standard plan. You will be required to provide valid payment card details to activate the trial, but you will not be charged during the trial period. At the end of the 14-day trial, your subscription will automatically convert to a paid Standard plan and your card will be charged the applicable subscription fee unless you cancel before the trial period ends. You may cancel at any time during the trial period at no cost through your account settings.
By subscribing to a paid plan, you agree to pay all applicable fees. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorise us to charge your payment method on file for the renewal fee. You may cancel your subscription at any time through your account settings.
We reserve the right to change our subscription fees. We will provide you with at least 30 days' written notice of any price changes before they take effect. Your continued use of the Services after the price change constitutes your acceptance of the new fees. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for all content you submit, post, or transmit through the Services.
You retain ownership of any User Content you submit through the Services. By submitting User Content, you grant BidClever a non-exclusive, worldwide, royalty-free licence to use, copy, modify, and display such content solely for the purpose of providing and improving the Services.
You represent and warrant that you own or have the necessary rights to submit User Content and that such content does not infringe the intellectual property rights or other rights of any third party.
The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement, are owned by BidClever, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for your internal business purposes during the term of your subscription.
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Services or any content therein, except as expressly permitted by these Terms or with our prior written consent.
If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into our Services without any obligation to you.
The Services may contain links to third-party websites, services, or content that are not owned or controlled by BidClever. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties. We encourage you to read the terms and privacy policies of any third-party services you access through our Services.
Your privacy is important to us. Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference.
You acknowledge that the tender data and market intelligence provided through the Services is aggregated from publicly available sources. While we strive to provide accurate and up-to-date information, we do not guarantee the accuracy, completeness, or timeliness of such data.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not warrant that the results obtained from the use of the Services will be accurate or reliable.
BidClever does not guarantee that you will win any tender or contract as a result of using our Services. The success of any bid depends on numerous factors beyond our control, including the quality of your proposal, pricing, competition, and the evaluation criteria of the contracting authority.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIDCLEVER, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless BidClever and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
These Terms will remain in effect until terminated by you or us.
You may terminate your account at any time by contacting us or through your account settings. Termination will be effective at the end of your current billing period.
We may suspend or terminate your access to the Services if you materially breach these Terms. Where reasonably practicable, we will provide you with 30 days' written notice and an opportunity to remedy the breach before termination takes effect. We may suspend access immediately without notice where we reasonably believe continued access poses a security risk or violates applicable law.
Upon termination, all licences and rights granted to you under these Terms will immediately terminate. You may export your data before termination takes effect. After termination, we will retain your data for 30 days in case you wish to reactivate your account. After this period, your data will be permanently deleted in accordance with our Privacy Policy.
These Terms shall be governed by and construed in accordance with the laws of England and Wales.

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference (including any applicable Partner Agreement), constitute the entire agreement between you and BidClever regarding the Services.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Site, updating the "Last Updated" date, and sending you an email notification at least 30 days before the changes take effect.
